The Opportunity: We are seeking an experienced and professional Company Secretary and Compliance Manager to join a leading charitable organisation. This critical role ensures the delivery of robust governance frameworks and compliance with statutory and regulatory requirements. You will play a central role in supporting the CEO, Senior Leadership Team, and Board of Trustees to fulfil their duties effectively. This is an excellent opportunity for a proactive, detail-oriented individual with a strong background in governance and compliance to make a meaningful impact in a respected organisation.
Key Responsibilities:- Act as Company Secretary, providing expert governance advice to the CEO, Board of Trustees, and senior leaders.
- Coordinate Board and committee meetings, including agenda setting, preparing papers, taking accurate minutes, and managing follow-up actions.
- Ensure compliance with statutory obligations, including timely submissions to regulatory bodies such as Companies House and the Charity Commission.
- Lead and manage a team including the Health, Safety and Environment Business Partner, Facilities Manager, and Project Coordinator.
- Act as Data Protection Officer, ensuring compliance with data protection regulations and organisational policies.
- Drive the continuous development of governance frameworks, policies, and procedures to ensure best practices.
- Oversee induction and training programmes for Trustees and senior leaders, enhancing governance capabilities.
- Support the COO in handling complaints, serious incidents, and lessons learned to improve organisational processes.
- Maintain oversight of health, safety, and environmental compliance.
- A degree or equivalent professional qualification (Desirable)
- Chartered Governance Institute qualification (or working towards it).
- Extensive experience in governance, including organising board meetings, preparing reports, and maintaining compliance with statutory requirements.
- Strong knowledge of charity governance and relevant legal frameworks.
- Excellent organisational skills, with a high level of accuracy and attention to detail.
- Outstanding interpersonal and communication skills, with the ability to engage and influence stakeholders at all levels.
